The Board of Directors is considering adopting proposed amendments to the Bylaws of California Domestic Water Company. The Bylaws are an official legal document setting forth various provisions to direct the Company’s governance, management, and operations. The current Bylaws were last amended and adopted on October 17, 2011, and since then the Company has realized significant changes in its management structure and operations. The proposed amendments to the Bylaws address various changes the Company has made in its practices and operations over the intervening 12 years and also incorporate various statutory provisions.
A copy of the Bylaws detailing the proposed amendments can be downloaded from our website at www.caldomestic.com or can be mailed to you by calling our office at (562) 947-3811 during regular business hours – Monday through Thursday from 7:30 AM to 5:00 PM. Enclosed with this letter is a summary outlining the proposed amendments. California Domestic Water Company will be accepting written comments from shareholders through the close of business on Friday, March 22, 2024. Tentatively, the Company’s Administrative Committee and the Board of Directors will review any comments received at their meeting scheduled on May 17, 2024 and will consider final adoption of the proposed amendments to the Bylaws at their meeting scheduled on June 7, 2024.
